EEZEVENT CUSTOMER TERMS OF SERVICE
Effective Date: August 5, 2026
These Customer Terms of Service ("Terms") govern access to and use of the EezEvent mobile application, website, and related services (collectively, the "Platform") by clients, event planners, event team members, and other users who seek, coordinate, inquire about, or book event-related services ("Customer," "you," or "your"). The Platform is operated by EezPlatforms LLC ("EezEvent," "we," "us," or "our").
By creating an account, accepting these Terms, creating or managing an event, sending an inquiry, responding to vendor outreach, messaging a vendor, accepting a quote, signing or exchanging a contract, uploading a document, or otherwise using the Platform as a Customer, you agree to be bound by these Terms.
1. Eligibility and Account Registration
You represent that you are at least 18 years old and have the legal capacity to enter into binding agreements. If you use the Platform on behalf of another person, client, organization, event host, or business, you represent that you have authority to do so.
You agree to provide accurate, complete, current, and non-misleading account, profile, planner-status, event, team, contact, inquiry, message, quote, contract, and document information. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
2. Platform Role
EezEvent is a technology platform for event planning coordination. The Platform may help Customers create events, search vendors, send inquiries, receive outreach, exchange messages, review quotes, track workflow status, manage documents, and coordinate event-service planning.
EezEvent is not an event planner, vendor, service provider, broker, agent, insurer, payment processor, escrow agent, employer, or party to any agreement between a Customer and a vendor. Vendors are independent third parties.
EezEvent does not endorse, employ, control, supervise, verify, guarantee, or assume responsibility for vendors, vendor services, vendor profiles, vendor availability, vendor pricing, vendor licenses, vendor insurance, vendor conduct, event outcomes, or service quality.
3. Events, Planner Tools, and Team Members
The Platform may allow Customers and planners to:
- Create, update, complete, cancel, or delete events.
- Add event names, descriptions, event types, dates, start and end times, zip codes, guest counts, budgets, service categories, and event profile images.
- Create events on behalf of a client when authorized.
- Add and remove event team members.
- Search vendors and review vendor public profiles, service descriptions, pricing, capacity, photos, catalog items, and contact information.
- Review event dashboards, inquiry status, vendor responses, service coverage, and reservation progress.
You are responsible for ensuring that event details, team member information, client information, and planner authority are accurate and authorized. Some event fields may become restricted after active inquiries exist in order to protect inquiry-linked workflow data.
4. Vendor Search, Outreach, Inquiries, Quotes, and Contracts
4.1 Vendor Search and Outreach
Vendor search and vendor outreach features are provided for coordination and discovery only. Search results, service hints, availability views, and outreach messages do not guarantee that a vendor is available, qualified, responsive, or willing to perform services.
4.2 Inquiries
Submitting an inquiry does not guarantee a response, quote, reservation, contract, booking, or event outcome. Vendors may accept, review, quote, decline, cancel, schedule, complete, or otherwise manage inquiries at their discretion and subject to any agreement you enter into with them.
4.3 Quotes and Contracts
Quotes, proposals, contracts, schedules, documents, and other commitments are provided by vendors and are solely between you and the relevant vendor. You are responsible for reviewing all quote, contract, price, cancellation, refund, schedule, insurance, permit, and service terms before accepting, signing, or relying on them.
Accepting a quote, signing a contract, sending a message, uploading a document, or marking a workflow step in the Platform may help organize the planning process, but EezEvent is not responsible for enforcing vendor obligations or Customer obligations.
5. Payments, Refunds, and Taxes
As of the effective date of these Terms, the Platform does not process, collect, hold, transmit, or release payments between Customers and vendors.
You are solely responsible for:
- Paying vendors outside the Platform.
- Confirming deposit, payment, refund, cancellation, and chargeback terms directly with vendors.
- Resolving payment disputes directly with vendors.
- Understanding any taxes, fees, permits, or other charges related to your event or vendor services.
EezEvent is not liable for non-payment, overpayment, fraud, refunds, deposits, cancellations, chargebacks, taxes, or payment disputes between Customers and vendors.
If EezEvent later introduces paid features, transaction fees, payment processing, subscriptions, or other monetized services, those features will be subject to additional or updated terms.
6. Customer Content and License
"Customer Content" means event information, profile information, planner information, team member information, inquiry messages, outreach responses, uploaded event images, documents, attachments, contract materials, feedback, notes, and other content you submit, upload, display, or transmit through the Platform.
You retain ownership of Customer Content you submit, subject to the rights granted in these Terms.
You grant EezEvent a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to host, store, use, reproduce, display, publish, modify for formatting, transmit, distribute, and otherwise process Customer Content as needed to operate, provide, secure, support, and improve the Platform.
You represent and warrant that you have all rights and permissions needed to submit Customer Content, including event details, images, files, team member contact information, client information, and documents. Customer Content must be accurate, lawful, non-misleading, and free of malware or harmful code.
7. Communications, Documents, and Records
The Platform may store messages, inquiry history, audit history, quote status, contract status, scheduling status, uploaded documents, attachments, read/unread message state, and other workflow records.
These records are provided for convenience and operational coordination. They may be incomplete, delayed, inaccurate, unavailable, or different from the final agreement between you and a vendor. You should keep your own copies of important quotes, contracts, invoices, permits, receipts, schedules, and other records.
8. No Guarantees and No Reliance
EezEvent does not guarantee:
- Vendor quality, performance, licensing, insurance, safety, reliability, or availability.
- That any vendor will respond, quote, contract, schedule, appear, complete work, or satisfy your expectations.
- That any event will occur, be successful, or be fulfilled.
- The accuracy, completeness, or timeliness of vendor profiles, pricing, availability, messages, quotes, contracts, calendar status, inquiry status, notifications, recommendations, dashboards, documents, or workflow data.
You are solely responsible for evaluating vendors, verifying important details, performing due diligence, and deciding whether to enter into any agreement with a vendor.
9. User Conduct
You agree not to:
- Provide false, misleading, deceptive, defamatory, infringing, illegal, or fraudulent information.
- Use another person's account or contact information without authorization.
- Upload content or files you do not have the right to use.
- Harass, threaten, spam, discriminate against, or abuse vendors, planners, Customers, team members, EezEvent personnel, or other users.
- Use vendor or Customer information for unauthorized purposes.
- Circumvent, interfere with, scrape, reverse engineer, overload, or compromise Platform systems, security, workflows, or access controls.
- Use the Platform to send malware, phishing attempts, unsolicited marketing, or unlawful communications.
- Use the Platform for illegal, unsafe, or unauthorized events, services, or transactions.
10. Privacy
Your use of the Platform is subject to the EezEvent Privacy Policy. You agree to use vendor, Customer, planner, event, inquiry, message, document, quote, contract, team, and contact information only for legitimate purposes related to the applicable event, inquiry, vendor service, or Platform workflow.
11. Account Deletion, Suspension, and Termination
The app may allow Customers to request account deletion and may allow deletion of certain events, event team members, images, and related information. Some information may be retained as described in the Privacy Policy, including backups, logs, legal records, audit history, dispute records, security records, and records needed to protect Customers, vendors, or EezEvent.
EezEvent may suspend, restrict, or terminate your access to the Platform, remove Customer Content, or limit feature access if we believe you violated these Terms, created risk for users or the Platform, provided inaccurate information, misused data, or otherwise acted inconsistently with Platform integrity.
12. Intellectual Property
The Platform, including EezEvent branding, software, interfaces, designs, features, documentation, and related technology, is owned by EezEvent or its licensors and is protected by intellectual property and other laws.
Subject to these Terms, EezEvent grants you a limited, revocable, non-exclusive, non-transferable license to access and use the Platform for personal or internal event-planning purposes. You may not copy, modify, distribute, sell, lease, reverse engineer, or create derivative works from the Platform except as permitted by law or authorized by EezEvent in writing.
13. Third-Party Services and Links
The Platform may include links, integrations, or access to third-party services, including vendor websites, maps, authentication providers, app platform services, or document/file services. EezEvent is not responsible for third-party services, third-party content, vendor services, external systems, or their privacy practices or terms.
14. Disclaimers
The Platform is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, EezEvent disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, accuracy, and reliability.
EezEvent does not warrant that the Platform will be uninterrupted, error-free, secure, accurate, current, or available at any particular time or location.
15. Limitation of Liability
To the maximum extent permitted by law, EezEvent and its affiliates, officers, directors, members, employees, contractors, agents, service providers, and licensors will not be liable for indirect, incidental, special, consequential, exemplary, punitive, or lost-profit damages, or for damages arising from:
- Vendor actions, omissions, services, agreements, representations, or failures.
- Event cancellations, delays, no-shows, schedule conflicts, or event failures.
- Payment disputes, refunds, deposits, non-payment, overpayment, chargebacks, taxes, or fraud.
- Lost data, lost revenue, lost profits, business interruption, reputational harm, or lost opportunities.
- Unauthorized access, technical failures, service interruptions, Platform errors, or inaccurate Platform information.
To the maximum extent permitted by law, EezEvent's total liability for claims arising out of or relating to these Terms or the Platform will not exceed the greater of (a) amounts you paid directly to EezEvent for use of the Platform in the three months before the event giving rise to the claim, or (b) one hundred U.S. dollars ($100).
16. Indemnification
You agree to indemnify, defend, and hold harmless EezEvent and its affiliates, officers, directors, members, employees, contractors, agents, service providers, and licensors from and against any claims, demands, damages, losses, liabilities, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to:
- Your use or misuse of the Platform.
- Your Customer Content.
- Your event, event team, planner activity, vendor interactions, or vendor agreements.
- Your payments, refunds, taxes, permits, event obligations, or disputes with vendors or other users.
- Your violation of these Terms, applicable law, or third-party rights.
- Your negligence, willful misconduct, fraud, or misrepresentation.
17. Force Majeure
EezEvent will not be liable for any failure or delay caused by events beyond its reasonable control, including natural disasters, pandemics, labor disputes, government actions, utility failures, telecommunications failures, hosting failures, cyberattacks, war, terrorism, civil unrest, or technical failures.
18. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of North Carolina, USA, without regard to conflict-of-law rules.
Any dispute arising out of or relating to these Terms or the Platform will be resolved through binding arbitration in North Carolina in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive or equitable relief in court for misuse of intellectual property, confidential information, personal information, or Platform systems.
To the maximum extent permitted by law, you and EezEvent waive any right to a jury trial and agree to bring claims only in an individual capacity, not as a plaintiff or class member in any class, consolidated, collective, or representative proceeding.
19. Changes to These Terms
EezEvent may update these Terms from time to time. When we update them, we will revise the effective date above. Continued use of the Platform after updated Terms become effective means you accept the updated Terms.
20. Electronic Acceptance
You agree that electronic acceptance, including tapping a checkbox, selecting an acceptance button, registering, signing in, or continuing to use the Platform, has the same legal effect as a physical signature.
21. Assignment
You may not assign these Terms without EezEvent's prior written consent. EezEvent may assign these Terms in connection with a merger, acquisition, reorganization, sale of assets, or by operation of law.
22. Entire Agreement
These Terms, together with any terms incorporated by reference, are the entire agreement between you and EezEvent regarding your use of the Platform as a Customer and supersede prior or contemporaneous understandings about that subject.
