EEZEVENT VENDOR AGREEMENT
Effective Date: August 5, 2026
This Vendor Agreement ("Agreement") is entered into by and between EezPlatforms LLC ("EezEvent," "Platform," "we," "us," or "our") and the individual or entity registering for or using EezEvent as a vendor, business owner, business team member, service team member, or service provider ("Vendor," "you," or "your").
By creating a vendor account, registering a business, adding a service, accepting this Agreement, or otherwise using the Platform as a Vendor, you agree to be bound by this Agreement. If you use the Platform on behalf of a business or other entity, you represent that you have authority to bind that business or entity to this Agreement.
1. Definitions
- "Platform" means the EezEvent mobile application, website, and related services operated by EezPlatforms LLC.
- "Vendor" means any individual, business, owner, employee, contractor, or team member offering or managing event-related services through the Platform.
- "Customer" means a client, planner, event team member, or other user seeking, inquiring about, coordinating, or booking event-related services.
- "Vendor Services" means the event-related services offered or managed by a Vendor, such as venues, catering, photography, entertainment, rentals, decor, planning support, or other event services.
- "Vendor Content" means any business profile information, service information, descriptions, prices, images, catalog items, social links, availability details, messages, quotes, documents, files, or other materials uploaded, submitted, displayed, or transmitted by or on behalf of a Vendor.
- "Customer Agreement" means any quote, contract, proposal, reservation, arrangement, or other agreement entered into between a Vendor and a Customer.
2. Eligibility and Account Registration
2.1 Legal Authority
You represent that you are at least 18 years old and have the legal authority to enter into this Agreement and to offer, manage, or perform the Vendor Services you make available through the Platform.
2.2 Business Authority
If you register or manage a business, service, business team, or service team, you represent that you are authorized to do so and to submit related business, service, contact, pricing, catalog, image, team, and availability information.
2.3 Accurate Information
You agree to provide accurate, complete, current, and non-misleading account, business, service, contact, pricing, availability, catalog, calendar, licensing, insurance, and tax-related information. You are responsible for keeping that information updated.
2.4 Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify EezEvent promptly if you believe your account has been accessed or used without authorization.
3. Vendor Responsibilities
3.1 Service Accuracy and Availability
You are solely responsible for the accuracy of your business profiles, service profiles, service areas, pricing, public contact information, images, catalog items, availability, calendar blocks, lead responses, inquiry responses, quotes, contracts, and other Vendor Content.
3.2 Service Delivery
You are solely responsible for performing Vendor Services in a professional, timely, safe, lawful, and workmanlike manner consistent with applicable industry standards and any Customer Agreement you enter into.
3.3 Laws, Licenses, Permits, Insurance, and Taxes
You are solely responsible for complying with all laws, rules, regulations, licenses, permits, insurance obligations, health and safety requirements, employment obligations, tax obligations, and other requirements that apply to your business, Vendor Services, employees, contractors, and Customer Agreements.
EezEvent does not verify that Vendors hold required licenses, permits, insurance, certifications, or authority to perform Vendor Services.
3.4 Professional Conduct
You agree to communicate professionally and lawfully with Customers, planners, other Vendors, EezEvent personnel, and other Platform users. You may not harass, threaten, abuse, discriminate against, deceive, spam, or otherwise mistreat users.
3.5 Team Members
If you add business team members or service team members, you are responsible for ensuring they are authorized to access the business, service, inquiry, message, document, calendar, and Customer information made available to them. You are responsible for their actions on the Platform to the extent permitted by law.
4. Business, Service, Catalog, Image, and Calendar Tools
The Platform may allow Vendors to:
- Create, update, and delete business profiles.
- Add, update, and delete services.
- Add and manage business team members and service team members.
- Upload, update, display, reorder, and delete service images and catalog items.
- Add service descriptions, service areas, prices, social links, notes, and related information.
- Review inquiry dashboards, statistics, reservations, revenue views, calendar views, and notification lists.
- Create, update, and delete vendor calendar blocks or unavailable periods.
These tools are provided for organization and coordination. You remain solely responsible for verifying availability, pricing, staffing, inventory, schedule conflicts, event requirements, and Customer expectations before making commitments.
5. Inquiry, Outreach, Quote, Contract, and Reservation Workflow
5.1 Inquiry and Outreach Tools
The Platform may allow Customers to send inquiries to Vendors and may allow Vendors to review upcoming events, send outreach messages, respond to leads, and manage inquiry status. EezEvent does not guarantee that any inquiry, lead, outreach message, or Customer interaction will result in a booking or revenue.
5.2 Quotes and Contracts
The Platform may allow Vendors to send quotes, issue contracts, upload documents, attach files, schedule work, decline inquiries, mark work complete, and manage reservation status. All quotes, proposals, contracts, attachments, documents, schedules, and Customer Agreements are created, issued, accepted, and performed solely by the Vendor and Customer.
5.3 Platform Is Not a Party
EezEvent is not a party to any Customer Agreement between a Vendor and a Customer. EezEvent does not negotiate, control, supervise, guarantee, endorse, or assume responsibility for Vendor Services, Customer Agreements, payments, refunds, cancellations, disputes, scheduling, performance, quality, safety, or outcomes.
5.4 Binding Commitments
If you enter into a Customer Agreement or otherwise make a commitment to a Customer, you are solely responsible for fulfilling that commitment and resolving any related dispute.
6. Payments, Fees, Refunds, and Taxes
As of the effective date of this Agreement, the Platform does not process, collect, hold, transmit, or release payments between Vendors and Customers.
Unless EezEvent separately agrees otherwise in writing, Vendors are solely responsible for:
- Collecting payment from Customers outside the Platform.
- Determining, charging, collecting, reporting, and remitting applicable taxes.
- Handling deposits, refunds, cancellations, chargebacks, non-payment, and payment disputes.
- Maintaining records for their own business, accounting, and tax purposes.
EezEvent is not liable for non-payment, fraud, payment disputes, refund claims, chargebacks, tax obligations, or payment processing issues between Vendors and Customers.
If EezEvent later introduces paid subscriptions, commissions, transaction fees, payment processing, or other paid features, those features will be subject to additional or updated terms.
7. No Guarantee of Leads, Bookings, or Revenue
EezEvent does not guarantee:
- Any minimum number of impressions, profile views, leads, outreach opportunities, inquiries, messages, quotes, reservations, bookings, or Customers.
- Any conversion rate, revenue, profit, business growth, availability ranking, search placement, recommendation, or outcome.
- That Customers will be qualified, responsive, accurate, or able to pay.
Participation on the Platform is at your own business risk.
8. Vendor Content and License
8.1 Ownership
You retain ownership of Vendor Content you submit, subject to the rights granted in this Agreement.
8.2 License to EezEvent
You grant EezEvent a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to host, store, use, reproduce, display, publish, modify for formatting, transmit, distribute, and otherwise process Vendor Content as needed to operate, provide, secure, support, market, and improve the Platform.
This license includes the right to display business profiles, service profiles, photos, catalog items, pricing, descriptions, public contact information, and related Vendor Content to Customers, planners, team members, and other users where Platform functionality requires it.
8.3 Vendor Content Responsibility
You represent and warrant that:
- You own or have all rights needed to submit and use Vendor Content.
- Vendor Content is accurate, lawful, and not misleading.
- Vendor Content does not infringe, misappropriate, or violate any intellectual property, privacy, publicity, contractual, or other rights.
- Uploaded files do not contain malware or harmful code.
EezEvent may remove or restrict Vendor Content that we believe violates this Agreement, applicable law, or Platform integrity.
9. Prohibited Activities
You agree not to:
- Post false, misleading, deceptive, defamatory, infringing, illegal, or fraudulent information.
- Misrepresent pricing, availability, qualifications, licenses, insurance, services, business identity, team authority, or Customer commitments.
- Upload content or files you do not have the right to use.
- Use Customer information for unauthorized purposes.
- Harass, threaten, spam, discriminate against, or abuse users.
- Offer illegal, unsafe, or unauthorized services.
- Circumvent, interfere with, scrape, reverse engineer, overload, or compromise Platform systems, security, workflows, or access controls.
- Use the Platform to send malware, phishing attempts, unsolicited marketing, or unlawful communications.
- Attempt to avoid Platform rules, account restrictions, suspensions, or termination.
10. Privacy, Confidentiality, and Customer Data
Your use of the Platform is subject to the EezEvent Privacy Policy. You agree to use Customer, planner, event, inquiry, message, document, quote, contract, team, and contact information only for legitimate purposes related to the applicable Vendor Service, Customer inquiry, Customer Agreement, or Platform workflow.
You may not sell Customer data, use Customer data for unrelated marketing, share Customer data with unauthorized parties, or contact Customers outside the scope of the applicable event-service relationship unless legally permitted and authorized by the Customer.
You must protect non-public information you receive through the Platform and limit access to authorized personnel who need the information to perform Vendor Services or manage the applicable business or service.
11. Platform Role and Independent Contractor Status
The Platform acts solely as a technology tool and coordination intermediary. EezEvent does not employ Vendors and does not make Vendors agents, representatives, partners, joint venturers, franchisees, or employees of EezEvent.
Vendors operate independently and are solely responsible for their businesses, employees, contractors, services, pricing, taxes, licenses, insurance, contracts, communications, and Customer relationships.
12. Account Deletion, Suspension, and Termination
12.1 Vendor Deletion and Content Removal
The app may allow vendor owners to request account deletion and may allow businesses, services, service images, catalog items, calendar blocks, team members, and inquiry attachments to be deleted. Some information may be retained as described in the Privacy Policy, including backups, logs, legal records, audit history, dispute records, security records, and records needed to protect Customers, Vendors, or EezEvent.
12.2 Suspension or Termination by EezEvent
EezEvent may suspend, restrict, or terminate your access to the Platform, remove Vendor Content, or limit feature access if we believe you violated this Agreement, created risk for users or the Platform, provided inaccurate information, misused Customer data, or otherwise acted inconsistently with Platform integrity.
12.3 Effect of Termination
Upon termination, your right to use the Platform ceases immediately. Sections that by their nature should survive termination will survive, including provisions relating to Customer Agreements, payments, taxes, Vendor Content, privacy, confidentiality, disclaimers, limitation of liability, indemnification, dispute resolution, and governing law.
13. Disclaimers
The Platform is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, EezEvent disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, accuracy, and reliability.
EezEvent does not warrant that the Platform will be uninterrupted, error-free, secure, accurate, current, or available at any particular time or location. Information displayed on the Platform, including Customer information, Vendor information, availability, messages, inquiry status, quote status, calendar status, documents, and workflow information, may be incomplete, delayed, or inaccurate.
14. Limitation of Liability
To the maximum extent permitted by law, EezEvent and its affiliates, officers, directors, members, employees, contractors, agents, service providers, and licensors will not be liable for indirect, incidental, special, consequential, exemplary, punitive, or lost-profit damages, or for damages arising from:
- Vendor Services or Customer Agreements.
- Customer disputes, non-payment, refunds, cancellations, chargebacks, or fraud.
- Event cancellations, event failures, vendor no-shows, Customer no-shows, or scheduling conflicts.
- Lost revenue, lost profits, business interruption, reputational harm, data loss, or lost opportunities.
- Unauthorized access, technical failures, service interruptions, or Platform errors.
To the maximum extent permitted by law, EezEvent's total liability for claims arising out of or relating to this Agreement or the Platform will not exceed the greater of (a) amounts you paid directly to EezEvent for use of the Platform in the three months before the event giving rise to the claim, or (b) one hundred U.S. dollars ($100).
15. Indemnification
You agree to indemnify, defend, and hold harmless EezEvent and its affiliates, officers, directors, members, employees, contractors, agents, service providers, and licensors from and against any claims, demands, damages, losses, liabilities, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to:
- Your Vendor Services.
- Your Vendor Content.
- Your Customer Agreements or disputes with Customers.
- Your payments, refunds, taxes, licenses, permits, insurance, employees, or contractors.
- Your use or misuse of Customer data.
- Your violation of this Agreement, applicable law, or third-party rights.
- Your negligence, willful misconduct, fraud, or misrepresentation.
16. Force Majeure
EezEvent will not be liable for any failure or delay caused by events beyond its reasonable control, including natural disasters, pandemics, labor disputes, government actions, utility failures, telecommunications failures, hosting failures, cyberattacks, war, terrorism, civil unrest, or technical failures.
17. Governing Law and Dispute Resolution
17.1 Governing Law
This Agreement is governed by the laws of the State of North Carolina, USA, without regard to conflict-of-law rules.
17.2 Arbitration
Any dispute arising out of or relating to this Agreement or the Platform will be resolved through binding arbitration in North Carolina in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive or equitable relief in court for misuse of intellectual property, confidential information, Customer data, or Platform systems.
17.3 Waiver of Jury Trial and Class Proceedings
To the maximum extent permitted by law, you and EezEvent waive any right to a jury trial and agree to bring claims only in an individual capacity, not as a plaintiff or class member in any class, consolidated, collective, or representative proceeding.
18. Changes to This Agreement
EezEvent may update this Agreement from time to time. When we update it, we will revise the effective date above. Continued use of the Platform after an updated Agreement becomes effective means you accept the updated Agreement.
19. Entire Agreement
This Agreement, together with any terms incorporated by reference, is the entire agreement between you and EezEvent regarding your use of the Platform as a Vendor and supersedes prior or contemporaneous understandings about that subject.
